Steer Terms of Service

Welcome to Steer! These Terms of Service (“Terms” or “Agreement”) govern your use of www.usesteer.io and any related subdomains, mobile applications, or services operated by Steer (collectively, the “Site” or “Services”), an affiliate marketing and influencer campaign management platform. By accessing or using our Site or Services, you (“User,” “you,” or “your”) agree to be bound by these Terms, our Privacy Policy, and if applicable, the Creator Platform License Agreement or Brand Platform License Agreement. If you do not agree, you must not access or use the Services.

These Terms create a legally binding agreement between you and Steer, Inc. (“Steer,” “we,” “us,” or “our”). Please read them carefully.

1. ACCEPTANCE OF TERMS

1.1 Binding Agreement

By visiting, accessing, registering for, or using our Site or Services in any way, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, License Agreements, and any other policies or guidelines posted on the Site. If you don't agree with these Terms, do not access, or use any part of the Site or Services.

1.2 Additional Terms

Certain features of our Services (e.g., promotional offers, mobile applications, subscription plans, or specific tools) may be subject to separate terms, conditions, or rules, which will be posted in connection with such features. If there is any conflict between these Terms and the terms specific to a particular feature, the feature-specific terms will control with respect to your use of that feature.

1.3 Age Requirement

Our Services are not intended for children under 13 years of age. If you are under 13, do not use our Site or Services. By using our Services, you represent and warrant that you meet the foregoing requirement.

2. MODIFICATIONS TO TERMS OR SERVICES

2.1 Changes to Terms

Steer reserves the right to change or modify these Terms at any time, in our sole discretion and without prior notice. These Terms were last updated on February 14, 2025. The current version of these Terms will be posted on the Site, and we will notify you of any material changes via email or through the Services. Your continued use of the Site or Services following the posting of a revised version of the Terms signifies your acceptance of the updated Terms.

2.2 Changes to Services

We may update, suspend, or discontinue any aspect of our Services at any time without notice or liability. This may include, without limitation, the availability of any feature, database, or content.

3. ELIGIBILITY & REGISTRATION

3.1 Eligibility

You must be able to form a legally binding contract to use the Services. By accessing or using the Services, you represent that (a) you are 18 years of age or older, (b) you can form a binding contract with Steer, and (c) if you are a Creator or Brand, you have executed the applicable Platform License Agreement, and (d) your access and use comply with all local, state, national, and international laws and regulations.

3.2 Registration

Some features of our Services may require you to register and create an account. By creating an account, you agree to:

  • Provide true, accurate, current, and complete information as prompted;
  • Maintain and promptly update your information to keep it accurate and current;
  • Maintain the security of your account and password; and
  • Notify us immediately if you suspect or become aware of any unauthorized use of your account or any other breach of security.

3.3 Account Responsibility

You are responsible for all activities that occur under your account. Steer will not be liable for any loss or damage arising from your failure to comply with these obligations.

4. SYSTEM REQUIREMENTS

4.1 User Responsibilities

It is your responsibility to ensure that you have the necessary hardware, software, and internet connectivity to access and use the Services. This includes, but is not limited to, a compatible device, an updated browser, and sufficient bandwidth. Steer is not responsible for any issues that may arise from your failure to meet these requirements.

4.2 Updates and Compatibility

Steer may provide updates to our Services, which may include bug fixes, patches, enhanced functions, and new versions. You agree to promptly install any updates to ensure continued access and functionality. Steer doesn't guarantee that our Services will be compatible with all devices or configurations, and we reserve the right to discontinue support for certain platforms or versions, as necessary.

5. PRIVACY

5.1 Collection and Use of Data

Our Privacy Policy describes how we collect, use, and share personal information in connection with the Services. By using our Services, you consent to Steer's processing of your data consistent with our Privacy Policy, and you represent that all data you provide is accurate.

5.2 Electronic Communications

By creating an account or otherwise providing your contact information, you consent to receive electronic communications from Steer (e.g., via email or by posting notices on the Site). These communications may include notices about your account, legal notices, and promotional materials. You may opt out of certain promotional emails by following the unsubscribe instructions contained in such emails or as described in our Privacy Policy. However, you may not opt out of service-related communications that are necessary for the administration and use of your account.

6. USER CONDUCT

6.1 Prohibited Conduct

You agree not to use the Services to:

  • Violate any law, regulation, or contractual or fiduciary obligation;
  • Infringe upon or misappropriate any third-party rights, including intellectual property or privacy rights;
  • Transmit any viruses, malware, or other harmful code;
  • Engage in any unsolicited or unauthorized advertising, spam, or other forms of solicitation;
  • Harvest or collect email addresses or other personal information for unauthorized purposes;
  • Impersonate any person or entity, or otherwise misrepresent your affiliation with any person or entity;
  • Interfere with or disrupt the Services or any servers or networks connected to the Services.

6.2 Removal of Content

Steer reserves the right to remove or refuse to post any content (including text, images, audio, video, links, etc.) at our sole discretion, without notice or liability, if it violates these Terms or is otherwise objectionable.

7. INTELLECTUAL PROPERTY

7.1 Ownership

All content and materials made available through our Services—such as text, graphics, logos, icons, images, audio clips, video, digital downloads, and the Steer Assets as defined in the Platform License Agreements—are the property of Steer or its licensors and may be protected by intellectual property laws. The applicable Platform License Agreement governs your use of Steer Assets. Except as explicitly stated in these Terms or the applicable Platform License Agreement, nothing grants you any license to use our intellectual property.

7.2 License and Restrictions

Steer grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and Services for your personal, non-commercial use, in accordance with these Terms. In addition, your use of the Services provided by Steer is contingent upon your execution of the License Agreement (Brand or Creator). You may not:

  • Reproduce, distribute, publicly display, or prepare derivative works based on our content;
  • Reverse engineer, disassemble, or decompile our software or Services;
  • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices.

7.3 Feedback

If you choose to provide us with any suggestions, comments, or other feedback about our Site or Services (“Feedback”), you grant Steer a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to use, modify, create derivative works from, distribute, publicly display, and incorporate such Feedback in any way, including in our Services and other products, without restriction or payment to you, and without any obligation of confidentiality, attribution, or other duties to you.

Additionally, please note that any feedback related to qualifying links, promotional activities, or campaign management will be treated as Confidential Information under the Creator Platform License Agreement.

8. THIRD-PARTY LINKS AND CONTENT

Our Services may link to or integrate with third-party websites, services, applications, or affiliate networks (“Third-Party Services”) that are not owned or controlled by Steer. We do not endorse, monitor, or have control over these Third-Party Services and assume no responsibility for their content, privacy policies, or practices. Accessing these Third-Party Services is at your own risk, and you agree that Steer bears no liability arising from your use of such Third-Party Services.

9. DISCLAIMER OF WARRANTIES

9.1 As Is

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS,” “WHERE IS,” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. STEER AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 No Guarantee

STEER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; NOR DOES STEER MAKE ANY WARRANTY AS TO THE ACCURACY, RELIABILITY, OR CURRENCY OF ANY INFORMATION ON THE SITE OR SERVICES.

9.3 Facilitator Role Disclaimer

Steer Acts Solely As A Facilitator, Providing A Platform For Brands And Creators To Connect And Manage Affiliate Marketing And Influencer Campaigns. Steer doesn't endorse or participate in the business arrangements between Brands and Creators using the Platform. Steer is not a party to any agreements made between Brands and Creators and bears no responsibility for any disputes, transactions, or interactions between them. Any collaborations or partnerships made through the platform are solely between the brand and the creator, and Steer is not liable for any claims arising from such relationships.

10. LIMITATION OF LIABILITY

10.1 Indirect Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STEER, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR INCIDENTAL DAMAGES ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Maximum Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF STEER FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO STEER FOR USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE THOUSAND U.S. DOLLARS ($1,000).

10.3 Basis of the Bargain

YOU ACKNOWLEDGE THAT STEER HAS OFFERED THE SERVICES AND SET ITS PRICES IN RELIANCE ON THE DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS, WHICH REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN THE PARTIES AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Steer, its directors, officers, employees, agents, and affiliates from and against any claims, actions, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your access to or use of the Site or Services, any content you post or submit, your violation of these Terms, or your violation of any rights of another person or entity.

12. DISPUTE RESOLUTION AND ARBITRATION

12.1 Governing Law

These Terms and any related action shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law provisions.

12.2 Arbitration Agreement

Any claim or controversy arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration in New York, NY, in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”). Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

12.3 Class Action Waiver

All claims will be brought solely in the parties' individual capacities. You hereby waive the right to participate as a plaintiff or class member in any purported class action, collective action, or representative proceeding.

12.4 Exception – Small Claims Court & Injunctive Relief

Nothing in these Terms shall be deemed to waive, preclude, or otherwise limit Steer's right to (a) pursue enforcement actions through applicable state or federal agencies; (b) seek injunctive relief in a court of law; or (c) file suit in a court of law to address an intellectual property infringement claim.

13. TERM AND TERMINATION

13.1 Right to Terminate

Steer may, in its sole discretion, suspend or terminate your account or access to the Services at any time, with or without notice, for any reason, including but not limited to: (a) violations of these Terms, (b) unauthorized account access or security concerns, (c) suspected fraudulent or illegal activities, (d) extended periods of inactivity, or (e) requests by law enforcement or regulatory authorities, including if we believe you have violated these Terms.

13.2 Effect of Termination

Upon termination of your account, your right to use the Services and any licenses granted hereunder immediately cease. Any sections of these Terms that by their nature should survive termination shall remain in effect (e.g., Intellectual Property, Indemnification, Limitation of Liability, Dispute Resolution).

14. MISCELLANEOUS

14.1 Entire Agreement. These Terms, together with our Privacy Policy, the Creator Platform License Agreement (if you are a Creator), the Brand Platform License Agreement (if you are a Brand), and any other agreements or policies incorporated by reference, constitute the entire agreement between you and Steer regarding your use of the Services and supersede all prior and contemporaneous agreements.

14.2 Severability. If any provision in these Terms is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

14.3 No Waiver. No waiver by Steer of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

14.4 Assignment. Steer may assign or transfer its rights and obligations under these Terms at any time without notice to you. You may not assign or transfer any rights under these Terms.

14.5 Force Majeure. We shall not be liable for any delay or failure to perform our obligations under these Terms caused by events outside our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, epidemics, labor disputes, power failures, cyber-attacks, internet or equipment outages, actions of governmental authorities, or other similar events ("Force Majeure Events"). Upon the occurrence of a Force Majeure Event, we will provide notice if reasonably possible and will use commercially reasonable efforts to resume performance.

14.6 Headings. Headings in these Terms are for reference only and do not affect the interpretation of these Terms.

14.7 Merchant Use of Content If a merchant requires specific content (such as images, videos, text, or other materials) from a creator as a condition of participating in a campaign, the merchant is granted a non-exclusive, royalty-free, worldwide license to use, distribute, reproduce, and display that content for its own marketing and promotional purposes. This license extends only to content explicitly required by the merchant for campaign participation and does not apply to any other content created by the creator independently.

If you are a Creator or Brand, you additionally acknowledge that you must execute the applicable Platform License Agreement before using the platform for affiliate marketing or influencer campaign management purposes.

We aren't responsible for any harm that might occur as a result of your reliance on information provided through the Services.

We can't guarantee the Services will be available at any particular time.

We're not responsible for any loss or damage that might occur as a result of your use of the Services.
